This chapter details and discusses the powers and responsibilities of directors under the constitution. Although the Companies Act 2006 contains provisions about the nature of directors’ responsibilities, it does not state what the directors do. The exercise of the directors’ powers is not solely a matter to be regulated by articles, since the conduct of a company’s affairs affects wider interests. The chapter then explains the internal and external aspects of managing a company, which include how to deal with third parties and responsibilities. It details the conduct, knowledge, or mental state of a director and other officers that may be attributed to the company.
